Cloaked Assassins can spawn when you move too close to a boat that resembles Merchant Ship. 6 of them instantly spawn when the player steps foot on the boat. They can also be found in groups of 3 during factions ambushes, spawning in place of the factions NPCs or Bounty Hunters.
